Overview

These Terms of Use govern your access to and use of proaccess.pripex.com — the subscription, purchase, and account access platform operated by Grandsage Inc., Ontario, Canada. By completing a purchase or creating an account on proaccess.pripex.com, you agree to these terms.

proaccess.pripex.com is a transactional platform. It processes purchases of PRIPEX intelligence products, manages subscriber access, and delivers operational communications as part of PRIPEX service delivery.

Acceptable Use

You may access proaccess.pripex.com to purchase PRIPEX products, manage your account, and access intelligence content corresponding to your subscription or purchase tier.

You may not:

share, resell, or redistribute access credentials or purchased content
attempt to circumvent access controls or subscription tier restrictions
use purchased content to build competing intelligence products or services
submit false or fraudulent purchase information
use automated tools to systematically extract platform content
access proaccess.pripex.com in any manner that disrupts platform performance or security

Intellectual Property

All PRIPEX intelligence content delivered through proaccess.pripex.com — including signal communications, reports, scorecards, and access materials — remains the intellectual property of Grandsage Inc. Purchase of a PRIPEX product grants you a personal, non-transferable licence to access and use that content for your own professional or institutional purposes. It does not transfer ownership of the underlying intellectual property.

Access Rights and Service Delivery

Access rights are granted upon confirmed payment and are subject to the terms of the product or subscription purchased. PRIPEX reserves the right to modify, expand, or adjust product content and delivery systems as the platform evolves, provided that the core service corresponding to your purchase tier is maintained.

Subscription access continues for the duration of the active subscription period. PRIPEX reserves the right to suspend access in cases of verified misuse or breach of these terms.

Operational Communications

As part of PRIPEX service delivery, subscribers receive operational communications including onboarding sequences and signal notifications relevant to their access tier. These communications are a core component of the PRIPEX service. Non-essential signal communications may be withdrawn at any time via the unsubscribe mechanism included in all signal emails.

Analytical Content and Limitations

Content delivered through proaccess.pripex.com is governed by the PRIPEX Disclaimer, which is canonical across the ecosystem and incorporated into these Terms of Use by reference. PRIPEX content is analytical and informational. It does not constitute regulated professional advice of any kind. Subscribers remain responsible for their own decisions.

Billing and Transactions

Payments are processed by Stripe Inc. on behalf of Grandsage Inc. By completing a purchase, you authorise the applicable charge to your payment method. Subscription charges recur at the applicable billing interval until cancelled. Refund eligibility is governed by the PRIPEX Refund Policy, published separately on proaccess.pripex.com.

Platform Availability

PRIPEX operates proaccess.pripex.com with reasonable care and institutional discipline. We do not guarantee uninterrupted availability of the platform. Scheduled maintenance, technical issues, or circumstances beyond our reasonable control may affect access from time to time. Where disruptions materially affect access to a paid service, PRIPEX will take reasonable steps to restore access or communicate expected resolution timeframes.

Modifications to Terms

These Terms of Use may be updated as the PRIPEX ecosystem evolves — including as new intelligence products, access tiers, and delivery systems are introduced. Material changes will be reflected in the Last Updated date above. Continued use of proaccess.pripex.com following an update constitutes acceptance of the revised terms.

Limitations of Liability

To the fullest extent permitted by applicable law, Grandsage Inc. and PRIPEX shall not be responsible for losses or damages arising from your use of or reliance on content or services provided through proaccess.pripex.com. This includes direct, indirect, incidental, or consequential losses, whether or not Grandsage Inc. had prior awareness of such possibility. Subscribers engage with PRIPEX intelligence content on the basis of their own independent judgment.

Governing Law

These Terms of Use are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
